These Terms and Conditions govern access to and use of the services, software, APIs, websites, integrations, and communication platforms provided by Softa Solutions.

These Terms and Conditions ("Terms") govern access to and use of the services, software, APIs, websites, integrations, and communication platforms provided by Softa Solutions ("Company", "we", "our", or "us").

By accessing or using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our services.

2. Services

Softa Solutions provides software solutions and communication platforms that enable businesses to manage customer interactions through channels including, but not limited to:

  • WhatsApp Business Platform
  • SMS
  • Email
  • Live Chat
  • Social Messaging Channels
  • APIs and Integrations

We reserve the right to modify, suspend, or discontinue any service at any time.

3. Eligibility

You must:

  • Be at least 18 years old.
  • Have authority to represent your organization.
  • Provide accurate registration information.
  • Maintain the security of your account credentials.

You are responsible for all activities conducted through your account.

4. Customer Responsibilities

You agree to:

  • Use the platform lawfully.
  • Comply with all applicable laws and regulations.
  • Obtain all required user consents before sending communications.
  • Maintain your own privacy policy where required.
  • Follow Meta, WhatsApp, and other channel provider policies.

You are solely responsible for the content, accuracy, and legality of messages sent through the platform.

5. WhatsApp Business Platform Compliance

Customers using WhatsApp integrations must comply with:

  • Meta Platform Terms
  • WhatsApp Business Terms
  • WhatsApp Business Messaging Policies
  • Applicable privacy and data protection laws

Softa Solutions is not responsible for account restrictions, suspensions, or actions taken by Meta or WhatsApp resulting from customer activities.

We reserve the right to suspend services that violate platform policies.

6. Prohibited Activities

You may not use the platform for:

  • Spam or unsolicited messaging
  • Purchased or scraped contact lists
  • Fraudulent activity
  • Phishing attempts
  • Misleading communications
  • Harassment or abuse
  • Distribution of malware
  • Illegal products or services
  • Violations of Meta or WhatsApp policies

Any violation may result in immediate suspension or termination.

7. Data Processing

Softa Solutions acts as a technology provider and, where applicable, a data processor on behalf of its customers.

Customers remain responsible for:

  • Lawful collection of personal data
  • Obtaining user consent
  • Responding to data subject requests
  • Compliance with applicable privacy laws

Our handling of personal information is governed by our Privacy Policy.

8. Intellectual Property

All rights, title, and interest in the platform, software, documentation, trademarks, and related materials remain the exclusive property of Softa Solutions.

Nothing in these Terms grants ownership rights to customers.

Customers retain ownership of their own content and data.

9. Service Availability

We strive to provide reliable service availability but do not guarantee uninterrupted or error-free operation.

Service interruptions may occur due to:

  • Scheduled maintenance
  • Third-party provider outages
  • Internet disruptions
  • Force majeure events

10. Third-Party Services

The platform may integrate with third-party services including Meta, WhatsApp, cloud providers, payment processors, and other software vendors.

We are not responsible for the availability, policies, or actions of third-party services.

11. Fees and Payments

Customers agree to pay all applicable fees associated with the services.

Failure to pay invoices when due may result in:

  • Account suspension
  • Service limitations
  • Account termination

All fees are non-refundable unless otherwise stated in writing.

12. Account Suspension and Termination

We may suspend or terminate access immediately if:

  • These Terms are violated.
  • Fraudulent activity is detected.
  • Platform abuse occurs.
  • Required payments are not received.
  • Continued access creates security, legal, or operational risks.

Upon termination, access to services may be discontinued.

13. Disclaimer of Warranties

Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, Softa Solutions disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted availability

14. Limitation of Liability

To the maximum extent permitted by law, Softa Solutions shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Data loss
  • Service interruptions caused by third-party providers

Our total liability shall not exceed the amount paid by the customer during the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

Customers agree to indemnify and hold harmless Softa Solutions, its employees, partners, and affiliates from claims arising from:

  • Customer content
  • Customer communications
  • Violations of laws
  • Violations of third-party policies
  • Breaches of these Terms

16. Changes to Terms

We may update these Terms at any time.

Updated versions will be published on this page with a revised effective date.

Continued use of the services constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where Softa Solutions is registered, without regard to conflict of law principles.
